These Terms of Service (“Terms”) are a binding agreement between you (“you” or “Customer”) and RouteForge (“RouteForge,” “we,” “us,” or “our”) governing your access to and use of the RouteForge website, admin dashboard, driver app, customer-portal widget, and API (collectively, the “Services”). By creating an account, clicking “I agree,” or otherwise using the Services, you accept these Terms. If you do not agree, do not use the Services.

Plain-English summary. RouteForge is software you rent on a monthly subscription. You can cancel any time. We bill through Stripe. You own your business data; we just host it. Don’t use the Services to break the law or harm others. The Services are provided as-is and our liability is capped at what you paid us in the last 12 months. Disputes go through West Virginia courts.

1. Accounts and eligibility

To use the Services you must be at least 18 years old and able to enter into a binding contract. Tenant accounts must be opened by an individual with authority to bind the company they represent. You are responsible for keeping your credentials confidential and for everything that happens under your account. Notify us immediately at info@routeforge.org if you suspect unauthorized access.

Tenants may invite their own drivers and end customers to use the Services through the driver app and customer portal. The Tenant is responsible for those invited users’ compliance with these Terms.

2. Subscriptions, billing, and refunds

2.1 Plans and fees

RouteForge offers Starter, Growth, and Pro subscription plans, billed monthly in advance through Stripe. The current price and feature list for each plan is shown at www.routeforge.org and inside the dashboard. By subscribing you authorize us (through Stripe) to charge your payment method the selected plan fee on each renewal date until you cancel.

2.2 Free trial

New Tenants may receive a free trial of a paid plan. Trials convert automatically to a paid subscription at the listed price unless cancelled before the trial ends.

2.3 Plan changes

You may upgrade or downgrade at any time from the dashboard. Upgrades take effect immediately and are prorated for the remainder of the current billing period. Downgrades take effect at the end of the current billing period.

2.4 Cancellation

You may cancel at any time from the dashboard or by emailing info@routeforge.org. Cancellation takes effect at the end of the current billing period; you retain access until then. We do not issue refunds for partial months.

2.5 Taxes

Fees do not include taxes. You are responsible for any sales, use, VAT, or similar taxes associated with your subscription, except for taxes based on RouteForge’s net income.

2.6 Failed payments

If a charge fails, we will retry the payment over a 14-day grace period. If payment is still not received, we may suspend or downgrade your account. Reactivation requires bringing the account current.

3. Your data and our license to host it

Your Data” means information you, your drivers, or your end customers submit to the Services — customer lists, routes, jobs, photos, payment metadata, etc. As between you and RouteForge, you retain all right, title, and interest in Your Data.

You grant RouteForge a worldwide, non-exclusive, royalty-free license to host, store, transmit, display, and process Your Data solely as necessary to provide and improve the Services and to comply with the law. We will not use Your Data to train any third-party machine-learning model.

Backups: we take routine database backups for disaster recovery; these backups inherit the same protections as live data and are not used for any other purpose.

Export: you may export customer, driver, route, and service history data at any time via the dashboard or by request. After cancellation we retain Your Data for up to 30 days to facilitate export, after which it may be deleted in accordance with our Privacy Policy.

4. Acceptable use

You agree NOT to use the Services to:

We may suspend or terminate accounts that violate these rules, including without notice if the violation poses an immediate risk to other users or the platform.

5. Third-party services

The Services integrate with third-party providers, including Stripe (payments), Twilio (SMS), SendGrid and Resend (email), and Google Maps (geocoding and mapping). Your use of these providers through the Services is also subject to their own terms and privacy policies. We are not responsible for outages, errors, or changes in those services.

Some integrations require you to supply your own API keys (for example, Stripe Connect, Twilio, or SendGrid). You are responsible for any fees those providers charge you.

6. Intellectual property

Subject to your compliance with these Terms, RouteForge grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services during your subscription term. All right, title, and interest in and to the Services (including the software, designs, trademarks, and content other than Your Data) remain with RouteForge and its licensors.

Feedback you provide about the Services is voluntary; you grant us a perpetual, irrevocable, royalty-free license to use it without restriction.

7. Confidentiality

Each party may disclose non-public information to the other (“Confidential Information”). Each party agrees to: (a) protect the other’s Confidential Information using at least the same care it uses for its own; (b) use it only to perform under these Terms; and (c) not disclose it except to employees and subprocessors who need access and are bound by confidentiality.

8. Term and termination

These Terms remain in effect for as long as you have an active account. Either party may terminate for the other’s material breach if the breach is not cured within 14 days of written notice. We may suspend the Services immediately for violations of Section 4 or for non-payment.

Upon termination: your right to use the Services ends; you may export Your Data for up to 30 days; provisions that by their nature should survive termination (including Sections 6, 9–11, 13, and 14) will survive.

Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions, the limitations above apply to the maximum extent permitted.

11. Indemnification

You will defend, indemnify, and hold harmless RouteForge from and against any third-party claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) Your Data; (b) your use of the Services in violation of these Terms or applicable law; (c) your provision of goods or services to your end customers; or (d) your breach of Section 4. RouteForge will promptly notify you of any covered claim and reasonably cooperate in your defense at your expense.

12. Changes to the Services or these Terms

We may modify or discontinue features of the Services from time to time. We will not materially reduce the functionality of a paid plan during your current billing period without notice.

We may update these Terms by posting a revised version with a new “Last updated” date and, for material changes, by emailing Tenant admins at the address on file. Your continued use of the Services after a change takes effect constitutes acceptance of the revised Terms.

13. Governing law and disputes

These Terms are governed by the laws of the State of West Virginia, USA, without regard to its conflict-of-laws rules. The exclusive venue for any dispute that is not subject to the informal-resolution provision below is any state or federal court located in the State of West Virginia, and both parties consent to personal jurisdiction there.

Informal resolution. Before filing a claim, you agree to try to resolve it informally by emailing info@routeforge.org with a description of the dispute. The parties will negotiate in good faith for at least 30 days before pursuing formal proceedings.

Small claims. Either party may bring an individual action in small-claims court for any claim within that court’s jurisdiction.
